Dear Members,

Ahead of the forming AGM, we are writing to update you on an important development regarding the proposed future governance and structure of Harborough Town.

Over recent weeks, both the Trust Board and the Football Board have reviewed a set of legal proposals to modernise and clarify how the Club is structured and governed. These proposals are set out in Heads of Terms and draft revised Articles of Association covering:

Harborough Town Community Trust (HTCT)
Harborough Town Football Club Ltd (HTFC)
Harborough Town Trading Ltd (HTT)

We can confirm that both Boards have now formally voted in favour of these proposed changes. The final step in adoption process, is to seek approval from you, our members.

What these changes mean?
This is not a change in what the Club stands for or who it belongs to.

We are not proposing:
Any change to the Club’s values or community purpose

Any move away from supporter ownership
Any weakening of the Trust’s independence or charitable protections
This is about ensuring that our governance framework properly reflects the scale and complexity of the Club today, and supports its continued growth.

Why this is being done now?
The current Articles are nearly 10 years old. Since then:
The Club has grown significantly in scale and ambition

Activities are now more clearly split between charitable, football and trading operations
Expectations around governance, compliance and professionalism have evolved

The updated framework will:
Bring our governing documents up to date

Clarify roles, responsibilities and accountability
Ensure ongoing compliance with charity law, company law and football regulation
Provide a strong, future-ready structure for the Club

In short, this is about strengthening the Club’s foundations, not changing its direction.

What happens at the AGM
We will be seeking formal member approval for these changes at the upcoming AGM.
Members physically attending the AGM will be invited to cast a vote in favour of the proposed changes, acting as a representative vote on behalf of the wider membership

A full opportunity will be provided at the AGM to ask questions and seek clarification before any vote is taken

Your role as Members
This is a key step in the Club’s development, and your support is important.
We are committed to ensuring this process is open and transparent.

Members will:
Have access to all relevant documents via the Club website

Have the opportunity to raise questions at the AGM
Be represented in the formal vote on adoption

Harborough Town has come a long way in recent years.
These proposals are about making sure our governance keeps pace—protecting what makes the Club special, while ensuring we are set up to grow responsibly for the future.
